Nové právní předpisy
Zákon o preventivní restrukturalizaci
Zcela nová právní úprava, která implementuje evropskou směrnici (EU) 2019/1023 o preventivní restrukturalizaci a insolvenci a změnu směrnice (EU) 2017/1132 o restrukturalizaci a insolvenci byla 22. 9. 2023 vyhlášena ve Sbírce zákonů pod číslem 284/2023 Sb. Zákonodárce stanovil účinnost dnem následujícím po dni jeho vyhlášení ve Sbírce zákonů.
Preventivní restrukturalizace umožní podnikatelům ve finančních obtížích včas restrukturalizovat jejich podnikání, odvrátit tak hrozící úpadek a pokračovat alespoň zčásti v podnikání. Jde o flexibilní nástroj, jehož cílem je sjednat restrukturalizační plán mezi podnikateli a klíčovými věřiteli prostřednictvím neformálních vyjednávání.
Současně dochází k přizpůsobení souvisejících předpisů, mezi něž patří mj. insolvenční zákon, jehož novela vyšla ve Sbírce zákonů pod číslem 285/2023 Sb.
Novela zákoníku práce
Velmi diskutovaná a rozsáhlá novela zákoníku práce byla 19. 9. 2023 vyhlášena ve Sbírce zákonů pod číslem 281/2023 Sb.
Novela je účinná od 1. října 2023, v některých případech nabyde účinnosti 1. ledna 2024 a 1. ledna 2029. Novela je implementací směrnic EU a přinese novou právní úpravu v oblastech:
- zlepšení postavení zaměstnanců na dohodu o provedení práce
- náhrada placená zaměstnavatelem zaměstnanci za práci na home office
- práce přesčas: možnost dobrovolné práce přesčas ve zdravotnictví
- vytvoření podmínek pro sladění soukromého a pracovního života (např. kratší úvazky, práce z domova pro zaměstnance pečující o děti a o osoby závislé na pomoci)
Nedávná soudní rozhodnutí
Přihlášení pohledávky v insolvenčním řízení bez originálu směnky
Věřitel může v insolvenčním řízení úspěšně přihlásit vykonatelnou pohledávku ze směnečného platebního rozkazu, i když není schopen dohledat a předložit insolvenčnímu soudu originál směnky.
Věřitel přihlásil v insolvenčním řízení vykonatelnou pohledávku ze směnečného platebního rozkazu, ale nepředložil soudu originál směnky. Insolvenční správce popřel pravost této pohledávky, protože "neměl postaveno najisto, zda je věřitel majitelem směnky, když od rozhodnutí nalézacího soudu uplynula významná doba, v jejímž průběhu mohlo dojít k indosaci směnky".
Podle názoru Nejvyššího soudu věřitel vykonatelné pohledávky dokládá její existenci zásadně jen pravomocným rozhodnutím příslušného orgánu, což platí i pro vykonatelné směnečné pohledávky. Již nalézací soud musel před vydáním směnečného platebního rozkazu zkoumat, zda byl žalobce majitelem směnky; vydáním směnečného platebního rozkazu nalézací soud osvědčil, že prověřil předpoklady pro jeho vydání. Požadavek insolvenčního správce na opětovné předložení originálu směnky nepředstavuje námitku, jejímž prostřednictvím by insolvenční správce popíral pravost či výši přihlašované pohledávky (§ 193 a § 194 IZ). Námitku insolvenčního správce, že od vydání směnečného platebního rozkazu do přihlášení pohledávky mohlo dojít k indosaci směnky na jinou osobu, Nejvyšší soud odmítl, protože tato skutečnost z ničeho nevyplývala. Riziko promlčení nároku v případě výběru nesprávného žalovaného
Pokud si žalobce vybere nesprávného žalovaného a později navrhne přistoupení správného žalovaného, tak nese riziko, že se jeho nárok v mezidobí promlčí.
Nejvyšší soud se v rozsudku vyjádřil k otázce stavení promlčecí lhůty při podání návrhu na přistoupení účastníka – dalšího žalovaného v poměrech nového občanského zákoníku (ust. § 648 OZ). Přistupuje-li do již běžícího soudního řízení další žalovaný, promlčecí lhůta se vůči němu staví dnem, kdy byl soudu doručen návrh žalobce na přistoupení dalšího žalovaného, avšak jen za předpokladu, že soud pravomocně vyhověl návrhu na přistoupení dalšího účastníka (v opačném případě se ten, jehož přístup do řízení byl navrhován, účastníkem řízení nikdy nestal.). (Nejvyšší soud: sp. zn. 25 Cdo 1394/2022)
Spory z nekalé soutěže jsou arbitrabilní
Rozhodčí doložka ve smlouvě mezi stranami se uplatní i pro jejich spory z nekalé soutěže (spory z nekalé soutěže jsou arbitrabilní).
Žalobce se u rozhodčího soudu domáhal ochrany proti nekalosoutěžnímu jednání spočívajícímu ve využívání databáze žalobkyně nad rámec licenčního ujednání. Rozhodčí soud žalobě vyhověl a žalované uložil, aby se zdržela protiprávního jednání, odstranila protiprávní stav a přiznal přiměřené zadostiučinění. Žalovaná podala návrh na zrušení rozhodčího nálezu z důvodu, že spory z nekalé soutěže nemohou být rozhodovány v rozhodčím řízení. Soud žalobu zamítl a odvolací soud k odvolání žalované rozhodnutí potvrdil. Žalovaná si podala dovolání, které Nejvyšší soud zamítl. Nejvyšší soud ve svém rozhodnutí shrnul podmínky arbitrability tak, že se musí jednat o majetkový spor, který lze ukončit smírem a k jehož projednání by byly příslušné obecné soudy, pokud by nebylo rozhodčí doložky. Všechny tyto podmínky byly v daném případě splněny. (Nejvyšší soud: sp. zn. 23 Cdo 476/2023)
Prodloužení nebo zkrácení funkčního období členů volených orgánů působí i vůči stávajícím členům: jejich funkční období může být neomezené
Změna stanov spočívající v prodloužení či zkrácení funkčního období členů volených orgánů působí i vůči těm z nich, jejichž funkční období již započalo. Ujednání stanov, podle něhož je funkční období členů volených orgánů časově neomezené, je přípustné.
Usnesení nejvyššího soud ČR ze dne 17. 5. 2023, sp. zn. 27 Cdo 1915/2022 a ze dne 18. 5. 2023, sp. zn. 27 Cdo 2554/2022
Na začátku srpna 2023 Nejvyšší soud zveřejnil svá dvě rozhodnutí týkající se změny stanov spočívající v prodloužení a zkrácení funkčního období členů volených orgánů a otázky, jak tato změna stanov působí vůči těm členům volených orgánů, jejichž volební období již započalo. Podle názoru Nejvyššího soudu tato změna stanov působí vůči členům volených orgánů, kteří jsou v době rozhodování valné hromady ve funkci, a to tak, že jejich funkční období se prodlouží nebo zkrátí. Je-li funkční období členů volených orgánů zkráceno tak, že účinností rozhodnutí o zkrácení funkčního období by některým (nebo všem) z nich funkční období zaniklo „zpětně", má takové rozhodnutí za následek odvolání těchto členů volených orgánů z funkce k okamžiku účinnosti rozhodnutí o zkrácení funkčního období členů volených orgánů.
Je-li takto prodlouženo funkční období člena voleného orgánu, musí s ním člen souhlasit, postačí i konkludentní souhlas (např. pokračování ve výkonu funkce člena voleného orgánu).
Zákonná úprava délky funkčního období představenstva akciové společnosti je dispozitivní, proto je možné ve stanovách ujednat, že funkční období členů volených orgánů je časově neomezené. (Nejvyšší soud: 27 Cdo 1915/2022 + 27 Cdo 2554/2022)
Soud může snížit smluvní pokutu i u smlouvy v režimu veřejných zakázek
Soud je oprávněn moderovat smluvní pokutu i ve smluvním vztahu vzniklém v režimu zadávání veřejných zakázek.
Nejvyšší soud v tomto rozsudku vyslovil názor, že pokud smluvní vztah vznikl v režimu zadávání veřejných zakázek, tak tato okolnost obecně nebrání uplatnění moderačního práva soudu, avšak může (potenciálně) být významná pro posouzení přiměřenosti smluvní pokuty. Pokud však zhotovitel na základě jím navržené výše smluvní p okuty uspěl ve veřejné soutěži, tak dodatečnou moderací takové pokuty by bylo zpětně zasaženo do veřejné soutěže, což je nepřípustné (usnesení ze dne 25. 9. 2012, sp. zn. 23 Cdo 436/2011). (Nejvyšší soud: sp. zn. 23 Cdo 2645/2022)
V důsledku zjevného zneužití práva může soud odepřít právní ochranu práva, ale nemůže založit právo, které neexistovalo
Ke korektivu „odmítnutí právní ochrany v důsledku zjevného zneužití práva" (ust. § 8 o.z.).
Nejvyšší soud v tomto rozsudku vysvětlil, jak mají soudy aplikovat ust. § 8 o.z., podle kterého zjevné zneužití práva nepožívá právní ochrany (když v dané kauze tak soudy nižšího stupně učinily nesprávně).
Žalobkyně se domáhala vrácení ceny zájezdu, na který s rodinou neodletěla pro své obavy z tvořící se cyklóny v dané oblasti. Soudy nižšího stupně žalobkyni vyhověly pouze zčásti, když ji neshledaly oprávněnou k odstoupení od smlouvy o zájezdu, ale její obavu z vývoje povětrnostních vlivů na její dovolenou podřadily pod ust. § 8 o.z. a přisoudily jí polovinu ceny zájezdu.
Nejvyšší soud vyslovil názor, že podle ust. § 8 o.z. soud může odepřít právní ochranu práva, avšak nemůže založit právo, které neexistovalo. (Nejvyšší soud: sp. zn. 33 Cdo 3044/2021)

New laws and regulations
New act on preventive restructuring
Completely new legislation implementing European Directive (EU) 2019/1023 on preventive restructuring and insolvency and amending Directive (EU) 2017/1132 on restructuring and insolvency was published in the Collection of Laws on 22 September 2023 under No. 284/2023 Coll. The legislative body has set the effective date as the day following the date of its publication in the Collection of Laws.
Preventive restructuring will enable entrepreneurs in financial difficulties to restructure their business in time, avert imminent bankruptcy and continue at least partly to do business. It is a flexible instrument aimed at negotiating a restructuring plan between entrepreneurs and key creditors through informal negotiations.
At the same time, related regulations are being adapted, including the Insolvency Act, an amendment to which was published in the Collection of Laws under No. 285/2023 Coll.
Significant amendments to the Labor Code
A highly debated and extensive amendment to the Labor Code was published in the Collection of Laws on 19 September 2023 under No. 281/2023 Coll.
The amendment took effect from 1 October 2023. For some sets of provisions it will take effect from 1 January 2024 or 1 January 2029. The amendment is an implementation of EU directives and will bring new legislation in the following areas:
- Improvement of the status of employees on a work performance agreement
- Compensation paid by the employer to the employee for home office work
- Overtime (the possibility of voluntary overtime in the health sector)
- Creating conditions for reconciling work and private life (e.g., shorter working hours, working from home for employees caring for children and dependents)
Case law developments
Filing a claim in insolvency proceedings without the original promissory note
A creditor may successfully file an enforceable claim under a promissory note in insolvency proceedings even if it is unable to trace and present the original promissory note to the insolvency court.
A creditor filed an enforceable claim under a promissory note in insolvency proceedings but did not submit the original promissory note to the court. The insolvency administrator denied the truth of this claim because:
… it was not established that the creditor was the owner of the promissory note, since a significant period of time had elapsed since the decision of the court of first instance, during which the endorsement of the promissory note could have occurred.
In the opinion of the Supreme Court, the creditor of an enforceable claim proves its existence in principle only by a final decision of the competent authority, which also applies to enforceable promissory note claims. Before issuing the order for payment of the promissory note, the court of first instance was already obliged to examine whether the applicant was the owner of the promissory note; by issuing the order for payment of the promissory note, the court of first instance certified that it had examined the prerequisites for issuing it. The insolvency administrator's request for the resubmission of the original promissory note does not constitute an objection by which the insolvency administrator disputes the authenticity or amount of the claim being lodged (Section 193 and Section 194 of the IZ). The Supreme Court rejected the insolvency administrator's objection that the promissory note could have been endorsed to another person between the issuance of the promissory note payment order and the filing of the claim, as this fact did not follow from anything (Czech Supreme Court: Case No. 29 ICdo 77/2023).
The risk of the claim being time-barred, if the plaintiff chooses the wrong defendant
If the plaintiff chooses the wrong defendant and later proposes that another defendant (the correct one) joins the court proceedings, the plaintiff runs the risk that the claim will be time-barred in the meantime.
In its judgment, the Supreme Court commented on the issue of the statute of limitations for an intervening defendant to file a motion for joinder in the context of the new Civil Code (Article 648 of the Civil Code). If an additional defendant joins an already pending court proceeding, the limitation period starts on the date on which the court was served with the plaintiff's motion to join the additional defendant, provided, however, that the court has finally granted the motion to join the additional party (otherwise, the party whose joinder was proposed does not become a party to the proceeding) (Czech Supreme Court: Case No. 25 Cdo 1394/2022).
Unfair competition disputes are arbitrable
The Supreme Court ruled that the arbitration clause in the contract between the parties applies to their unfair competition disputes (unfair competition disputes are arbitrable).
The plaintiff sought protection before the arbitral tribunal against an unfair competition act concerning the use of the plaintiff's database beyond the scope of the license agreement. The arbitral tribunal upheld the claim and ordered the defendant to refrain from the infringement, to remedy the infringement and to award appropriate damages. The defendant applied to set aside the arbitral award on the ground that unfair competition disputes could not be arbitrated. The trial court dismissed the action, and the court of appeals affirmed the decision on the defendant's appeal. The defendant appealed, which the Supreme Court dismissed. In its decision, the Supreme Court summarized the conditions for arbitrability as being that the dispute must be a property dispute that can be settled amicably and that the ordinary courts would have had jurisdiction to hear but for the arbitration clause. All those conditions were met in the present case (Czech Supreme Court: Case No. 23 Cdo 476/2023).
Extending and shortening the term of office of members of elected bodies affects existing members: their term may be unlimited
An amendment to the articles of association to extend or shorten the term of office of members of elected bodies affects even those whose term of office has already begun. An unlimited term of office of members of elected bodies is permissible in the articles of association.
At the beginning of August 2023, the Supreme Court published its two decisions concerning the amendment of the statutes consisting in the extension and shortening of the term of office of members of elected bodies and the question of how this amendment affects those members of elected bodies whose term of office has already begun. In the Supreme Court's view, that amendment to the articles of association has an effect on the members of the elected bodies who are in office at the time the general meeting takes its decision, in that it extends or cuts short their term of office. If the term of office of the members of the elected bodies is cut short in such a way that the effectiveness of the decision to shorten the term would cause some (or all) of them to cease holding office "retrospectively," such a decision has the effect of removing those members of elected bodies from office when the decision to shorten the term takes effect.
If the term of office is extended, the member must consent to the extension, although implied consent (e.g., to continue to serve as a member of the elected body) is sufficient.
The legal regulation of the length of the term of office of the board of directors of a joint-stock company is dispositive, and, therefore, it is possible to stipulate in the articles of association that the term of office of members of elected bodies is unlimited, is permissible (Czech Supreme Court: Case No. 27 Cdo 1915/2022 and Case No. 27 Cdo 2554/2022).
The court may reduce the contractual penalty in a contract in a public procurement regime
The court is entitled to moderate the contractual penalty in a contractual relationship arising in a public procurement regime.
In this judgment, the Supreme Court expressed the opinion that if the contractual relationship arose under a public procurement regime, this circumstance does not generally prevent the court from exercising its right of moderation, but it may (potentially) be relevant for the assessment of the reasonableness of the contractual penalty. However, if the contractor succeeded in a public tender based on the amount of the contractual penalty proposed by it, the additional moderation of such penalty would retroactively interfere with the public tender, which is inadmissible (Resolution of 25 September 2012, Case No. 23 Cdo 436/2011) (Czech Supreme Court: Case No. 23 Cdo 2645/2022).
The case of manifest abuse of rights: the court may deny legal protection of a right but cannot establish a right that did not exist
This judgment concerns the corrective "refusal of legal protection due to manifest abuse of rights" (Section 8 of the Civil Code).
The Supreme Court explained how the courts should apply Section 8 of the Civil Code, according to which, manifest abuse of rights should not be afforded legal protection. In the present case, the lower courts did so incorrectly.
The applicant sought reimbursement of the price of a trip on which she and her family had not flown because of her fears of a cyclone forming in the area. The lower courts only partially upheld the applicant's claim, finding her not entitled to withdraw from the tour contract but bringing her concern about the development of weather conditions on her holiday under Section 8 of the Civil Code, and awarded her half the price of the tour. The Supreme Court expressed the view that under Section 8 of the Civil Code, the company's liability for the delay was limited. The court may deny legal protection of a right but cannot establish a right that did not exist (Czech Supreme Court: Case No. 33 Cdo 3044/2021).
