In brief

The Superintendence of Industry and Commerce (SIC) announced on 29 April 2025, that it sanctioned Comercializadora Internacional y Procesadora de Subproductos para Animales Prosan S.A. in liquidation ("Prosan"), Salvador Giraldo López Sucesores S.A.S. ("Surtipiel"), Agropecuaria San Fernando S.A.S. ("Agrosan"), now Sanimax de Colombia S.A.S. ("Sanimax"), Charry Trading S.A.S. ("Charry Trading"), Central de Sacrificio de Manizales S.A. ("Frigocentro") and Cercaldas S.A.S. ("Cercaldas") and ten individuals related to them with a fine of COP 7,000,000,000 (approximately USD 1,719,6901).

The announcement states that the decision was based on creating an anti-competitive system, in which Prosan illegally concentrated the purchase of animal slaughter by-products, resulting in monopolization, that eliminated market competition.

Key Takeaways

According to the SIC's press release, the decision was based on the following rationale:

  • Prosan entered into agreements with competing companies, Surtipiel, Agrosan, Sanimax and Charry Trading, to prevent them from participating in the market for the acquisition of animal slaughter by-products in the department of Caldas.
  • Prosan took advantage of its indirect control over Figocentro, owner of the main slaughter plants, as a pressure mechanism for the subscription and execution of the agreements.
  • Subsequently, Prosan began a liquidation process, and Cercaldas took its place in the anti-competitive system.
  • During the administrative investigation, Sanimax accessed to the Collaboration Benefits Program (CBP) of the SIC aimed at obtaining the total exoneration from sanctions. However, the SIC found that it failed to comply with the commitment to cease its participation in the anti-competitive conduct, therefore the SIC did not grant the benefits and imposed the respective sanctions.

Additional Information

  • The SIC urged those admitted to a CBP to fulfill their commitments in order to receive the benefits provided by law.
  • The decision is subject to an appeal.
